Terms of Service
1. Agreement to Terms
By engaging Complete Digital Technology, LLC (the “Provider”) for the provision of technology and digital services, you (the “Client”) agree to be bound by these Terms of Service. This document, together with any executed Statement of Work (“SOW”), constitutes the entire agreement between the Provider and the Client.
2. Provision of Services
The Provider will deliver the services as described in the applicable SOW. This may include, but is not limited to, IT support, network and infrastructure work, web and cloud configuration, software integration, security recommendations, and related consulting. All timelines provided are good-faith estimates and are not guaranteed, as they can be affected by client feedback, third-party vendors, technical complexities, and other external factors.
3. Payment Terms
The Client agrees to pay all fees as specified in the SOW. Invoices are due upon receipt unless otherwise stated. The Provider reserves the right to suspend all services if payments are not made in a timely manner. All fees paid for services rendered are non-refundable.
4. Client Obligations
The Client shall provide the Provider with timely access to all necessary resources, including credentials, licenses, brand assets, and other information required for the performance of the services. The Client warrants that they have all necessary rights to the materials provided to the Provider.
5. Confidentiality
Both parties agree to treat all non-public information received from the other party as confidential. This includes, but is not limited to, business strategies, financial information, and proprietary technical or operational data. This obligation of confidentiality shall survive the termination of the service agreement.
6. Limitation of Liability and Legal Disclaimers
The Provider will use its best efforts to achieve the desired outcomes but does not guarantee specific results, uptime levels, or return on investment (ROI) unless expressly stated in a signed SOW. Technology environments are subject to change, and performance can be influenced by factors beyond the Provider's control. In no event shall the Provider’s total liability for any claim arising from this agreement exceed the total fees paid by the Client to the Provider in the three (3) months preceding the claim.
